Terms of Service

1. Agreement to these terms

These Terms of Service (the "Terms") are a binding contract between you and HeatSoles ("HeatSoles," "we," "us," or "our"). By creating an account, clicking "Create account," purchasing, or otherwise accessing or using HeatSoles (the "Service"), you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and the Refund Policy below. If you do not agree, do not create an account or use the Service.You also confirm you are at least 18 years old and able to enter into a binding contract.

2. What HeatSoles is, and is not (no guarantee of results)

HeatSoles is a set of educational, informational decision-support tools for sneaker restoration and resale. Everything it produces, including scores, condition reads, restoration plans, resale and profit estimates, and keyword and listing suggestions, is illustrative guidance and opinion, not a guarantee, appraisal, or professional advice.

• We do not promise income, profit, resale value, or any specific outcome. Results depend on what you source, the work you put in, pricing, timing, and a market we do not control.
• HeatSoles is not financial, investment, legal, tax, or business advice. You are solely responsible for your own decisions.
• Figures and estimates are not appraisals and may be inaccurate or out of date.
• Nothing on the Service is an offer, solicitation, or recommendation to buy or sell any specific item.

Assumption of risk. Buying, restoring, and reselling goods involves real financial risk, including the risk of total loss. You knowingly and voluntarily accept that risk and agree that any decisions you make using the Service are made at your own discretion and risk.

3. Authenticity & lawful use of goods

HeatSoles does not authenticate sneakers and must be used with authentic pairs only. You agree not to use the Service to assist with counterfeit, replica, stolen, or otherwise unlawful goods, or to deceive buyers or misrepresent items. If you are unsure a pair is genuine, verify it with a dedicated authentication service before investing. You are solely responsible for the legality of what you buy, restore, list, and sell.

4. Eligibility (18+), minors & your account

HeatSoles is for adults. You must be at least 18 years old to create an account, purchase a membership, or use any paid feature. By creating an account or purchasing, you represent and warrant that you are 18 or older and have the legal capacity to enter into this agreement. A paid subscription is a binding contract, and a person under 18 may lack the capacity to enter one. Some third-party services we connect to (for example resale marketplaces such as eBay) also require users to be 18+.

• If we learn an account holder is under 18, we may suspend or disable the account and stop billing it; the account holder (or their parent or guardian) should email support@heatsoles.com to resolve it.
• Age verification. We reserve the right, at our discretion, to require reasonable proof of age or identity (including third-party government-ID verification) to open, keep, or continue an account. We use that information only to confirm eligibility and do not keep it longer than necessary.
• Accuracy. Any age or date of birth you provide must be truthful. Gaining access by misstating your age is a breach of these Terms, and someone who supplies false information cannot rely on these Terms to claim benefits they were never eligible to receive.
• You are responsible for your account, your login credentials, and all activity under your account. Keep your password secure and notify us of any unauthorized use.
• One account per person. Do not share, sell, rent, or transfer your account or access.
• We may refuse, suspend, or terminate accounts at our discretion, including for any violation of these Terms (see Section 11).

5. Acceptable use

You agree that you will not, and will not attempt to or help anyone else:

• Copy, scrape, crawl, data-mine, harvest, or bulk-export content, or use bots or automated means to access the Service.
• Reverse-engineer, decompile, or attempt to extract source code, models, prompts, or underlying data.
• Resell, sublicense, redistribute, or commercially exploit the Service or its outputs except as expressly permitted.
• Circumvent, disable, or interfere with the paywall, credit system, rate limits, security, or any access controls; or share, exploit, or abuse credits, trials, refunds, or promotions.
• Upload unlawful, infringing, harmful, or deceptive content, or anyone else's personal data or images without permission.
• Overload, disrupt, or harm the Service or its infrastructure, or probe or test its vulnerabilities.
• Use the Service to break the law, infringe intellectual property, or violate the rules of any marketplace or third party.
• Misrepresent your identity, impersonate others, or provide false information.

We may investigate and take any action we consider appropriate for a suspected violation, including removing content, limiting or suspending access, terminating your account without refund, and reporting conduct to authorities.

6. Credits

• Some features consume credits. Credits are a limited license to use paid features; they are not money, currency, or property, have no cash value, and are non-transferable and non-exchangeable.
• Credits are consumed when a tool runs. A tool that has run (and the compute it used) is delivered and non-refundable, even within the refund window.
• Subscription credits may expire or reset on your billing cycle as described at purchase; one-time credit packs are described at checkout.
• We may adjust credit costs, allowances, and features over time. Material changes will be reflected on the pricing page.

7. Payments, subscriptions & automatic renewal

• Processor. Payments are processed by Stripe. HeatSoles is the seller of the Service; we never see or store your full card number. Charges may appear on your statement as HEATSOLES.COM (or similar).
• Authorization. By purchasing a subscription you authorize us and Stripe to charge your payment method on a recurring basis (monthly unless stated otherwise) at the then-current price, plus applicable taxes, until you cancel.
• Auto-renewal. Subscriptions automatically renew at the end of each billing period. The renewal date and price are shown in the app.
• Cancel anytime. You can cancel from your account in two clicks, with no calls and no hoops. Cancellation stops future charges; see the Refund Policy for how cancelling differs from a refund.
• Price changes. We may change prices; changes apply to future billing periods, and we will give reasonable notice before a renewal at a new price.
• Taxes. Prices may exclude sales or other taxes, which will be added where required.
• Failed payments. If a charge fails, we may retry, suspend access, or downgrade your account until payment succeeds.

8. Refund Policy

We want you to feel good about your purchase. Our refund policy is simple, and these are the only circumstances under which refunds are given:

• The $14 Starter Kit is non-refundable. The Starter Kit is a one-time purchase that includes a 7-day tool-access pass and a one-time credit grant. It is final and non-refundable, all sales final. The 168-hour money-back window below applies only to memberships (Club and The Insider), not to the Starter Kit.
• 168-hour (7-day) window, by email (memberships only). To request a refund on a Club or The Insider membership, email support@heatsoles.com within 168 hours (7 calendar days) of the purchase, measured from the time of the charge. Refund requests outside this window cannot be honored.
• After 168 hours, all purchases are final. No refunds are given after the window closes, for any billing period, including renewals you forgot to cancel.
• One refund per customer. The guarantee is for genuine trials, not repeat refund-and-rebuy cycles.
• Already-used value is non-refundable. Credits that have been spent, tools that have already run, and one-time digital purchases that have been delivered or substantially used are not refundable.
• A refund ends your paid access. On the day we process a refund, your membership and paid access for that account end and you return to the free tier. You cannot keep both the refund and the access you were refunded for.
• Refunded credits are forfeited. Any credits or tokens from the refunded purchase are forfeited that same day, whether or not they were used.
• Refunds are issued to your original payment method via Stripe and may take several business days to appear.

Chargebacks. If you have a billing concern, contact us first, and we will work it out. Initiating a chargeback or payment dispute instead of following this policy is a breach of these Terms; we may suspend or terminate your account and contest the dispute with records of your acceptance and use. Nothing here limits rights you have under applicable law that cannot be waived.

9. Your content, AI processing & our IP

Your content. You keep ownership of the photos, videos, and notes you submit. You grant us a limited, worldwide, royalty-free license to host, process, and analyze them (including by automated and AI systems, and, where you opt in, to save a scan to your private library) solely to provide and improve the Service. You represent that you have the rights to everything you submit.

AI outputs. The Service uses automated and AI models. Outputs can be wrong, incomplete, or out of date and must be independently verified before you rely on them. Do not submit anything you would not want processed by an automated system.

Our IP. HeatSoles and all of its components, including software, source code, tools, scoring and analysis logic, datasets and compiled data, text, images, graphics, designs, layout, look and feel, and the HeatSoles name, logo, and branding, are owned by HeatSoles and/or its licensors and protected by copyright, trademark, trade-secret, and other laws. We grant you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to use the Service for your own personal or internal use; no ownership transfers, and the license ends when your access ends. All rights not expressly granted are reserved.

No copying or cloning. You will not, and will not help others, copy, reproduce, republish, distribute, sell, sublicense, or commercialize any part of the Service except as permitted below; scrape, crawl, or use bots to collect its content; reverse-engineer or attempt to discover its source code, prompts, scoring methods, or data structures (except where law forbids that restriction); circumvent paywalls, access controls, or rate limits; or use the Service, its content, or its data to build, train, or operate a competing product or to create a copy or clone. The Service contains confidential and trade-secret material (including prompts, scoring and resale-intelligence logic, and datasets) that you agree not to disclose, misappropriate, or use except as permitted.

Permitted self-use. Your own work is yours. You may screenshot, export, download, save, and print your ownprojects, scans, analyses, and results for your personal or internal use; that is intended, welcome, and not a violation. This does not let you extract or copy the Service's underlying tools, datasets, code, or content, or another user's data, or redistribute our proprietary material.

Our remedies.We may suspend or terminate access immediately for a breach. You acknowledge a breach of this section may cause irreparable harm for which money damages are inadequate, and agree we may seek injunctive and other equitable relief without posting a bond. To the fullest extent permitted by law, we reserve and may pursue all available remedies, including injunctive relief, actual damages and lost profits, the infringer's profits (disgorgement), statutory damages where available (including the maximums for willful copyright infringement), exemplary damages for willful and malicious trade-secret misappropriation, and reasonable attorneys' fees and costs. These remedies are cumulative and in addition to any other rights at law or in equity.

10. Third-party services & links

The Service relies on and links to third parties (for example Stripe for payments, and marketplaces such as eBay). We are not responsible for third-party services, their content, or their terms, and your use of them is governed by their agreements. Some outbound links may be affiliate links, meaning we may earn a commission at no extra cost to you; this never changes our framing, which is educational and never an income promise.

11. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms, create risk or legal exposure, or for any lawful reason. On termination, your license ends and we may delete your data subject to our Privacy Policy and law. Sections that by their nature should survive (including Sections 2, 5, 6, 8, 9, 12, 13, and 14) survive termination.

12. Disclaimers & limitation of liability

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any result, estimate, or output will be accurate or achievable.

To the fullest extent permitted by law, HeatSoles and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost revenue, lost data, or losses from your buying, restoring, or reselling decisions, even if advised of the possibility. Our total aggregate liability for all claims relating to the Service is limited to the amount you paid HeatSoles in the 12 months before the event giving rise to the claim, or USD $100if you paid nothing. Some jurisdictions do not allow certain limitations, so some of these may not apply to you; nothing here removes rights that cannot be waived under your local law.

Indemnification. You agree to defend, indemnify, and hold HeatSoles harmless from claims, damages, and expenses (including reasonable legal fees) arising out of your content, your use or misuse of the Service, your decisions, or your violation of these Terms or any law or third-party right.

13. Governing law & dispute resolution

• Governing law. These Terms are governed by the laws of the State of Texas, USA, without regard to conflict-of-laws rules.
• Talk to us first. Before filing anything, you agree to contact us at support@heatsoles.com and give us 30 days to resolve the issue informally.
• Binding arbitration. Except for small-claims matters and requests for injunctive relief, any dispute that is not resolved informally will be settled by final and binding individual arbitration, not in court.
• Class-action & jury waiver. To the extent permitted by law, you and HeatSoles waive any right to a jury trial and to participate in a class, collective, or representative action; disputes are resolved on an individual basis only.
• Venue. For any matter not subject to arbitration, the exclusive venue is the state and federal courts located in Bexar County, Texas, and you consent to their jurisdiction.
• Time limit. Any claim must be brought within one (1) year after it arises, or it is permanently barred, to the extent allowed by law.
• Opt-out. You may opt out of this arbitration agreement by emailing us within 30 days of first accepting these Terms.

14. Changes, contact & miscellaneous

We may update these Terms; we will change the "Last updated" date above and, for material changes, provide reasonable notice. Continued use after changes means you accept them. If any provision is held unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, the Privacy Policy, and the Refund Policy are the entire agreement between you and HeatSoles about the Service. Neither party is liable for delays caused by events beyond its reasonable control.
